| A. Piaggio Vehicles Pvt. Ltd (June 98 – Aug 04) |

The Company was initially formed as a 51:49 Joint Venture between Piaggio & C Spa of Italy and Greaves Ltd of India. |
 |
As part of the Joint Venture Agreement, the Company acquired the Auto Unit from Greaves where it was manufacturing three wheelers under the brand name “Garuda”. |
 |
The Auto unit was acquired by the Company as a Section 293(1) (a) route under the Companies Act, 1956. |

I was engaged with the company from beginning of the Joint Venture and successfully handled all the legal, financial and commercial matters relating to transfer of the Auto Unit from Greaves to the JVC. |

Arranged term loan finance for the company through State Bank of India and Credit Agricole Indosuez of Rs. 280 millions. |
 |
Owing to subsequent changes in the modernisation project undertaken by the company, there were cost over runs of almost Rs. 17.00 crores plus during the first two years company incurred a loss of Rs. 10.00 crores. Managed this deficit of Rs. 27.00 crores through very tight and efficient management of working capital without resorting to any additional borrowing. |

It was a Greenfield Joint Venture project with Bumotec SA of Switzerland to manufacture watch cases for being supplied to watch manufacturers such as HMT, Titan and Timex. |

The company belonged to the Growel group of companies owned by Mores. Other companies of the group are Bombay Paints and Grauer & Weil. |

Got both the subsidiaries merged through the process of Section 391-394 of the Companies Act. |
