Practitioner and Teacher of Yog, Pranayama and Dhyan

Associated with Patanjali Yogpeeth Hardwar as a Yog teacher and himself a regular practitioner and teacher of Yoga, Pranayama and Meditation. He has been regularly conducting Yog Shivirs on behalf of the Patanjali Yogpeeth and has taught “Pran-Yog” to Police personnel, engineering students, MBA Students, Members of Rotary Clubs, Chartered Accountants and other professionals.

Highlights of work experience with various organisations

A. Piaggio Vehicles Pvt. Ltd (June 98 – Aug 04)

	The Company was initially formed as a 51:49 Joint Venture between Piaggio & C Spa of Italy and Greaves Ltd of India.
	As part of the Joint Venture Agreement, the Company acquired the Auto Unit from Greaves where it was manufacturing three wheelers under the brand name “Garuda”.
	The Auto unit was acquired by the Company as a Section 293(1) (a) route under the Companies Act, 1956.

Highlights of Experience

	I was engaged with the company from beginning of the Joint Venture and successfully handled all the legal, financial and commercial matters relating to transfer of the Auto Unit from Greaves to the JVC.
	Arranged term loan finance for the company through State Bank of India and Credit Agricole Indosuez of Rs. 280 millions.
	Owing to subsequent changes in the modernisation project undertaken by the company, there were cost over runs of almost Rs. 17.00 crores plus during the first two years company incurred a loss of Rs. 10.00 crores. Managed this deficit of Rs. 27.00 crores through very tight and efficient management of working capital without resorting to any additional borrowing.
	Managed to receive Rs. 300 million worth of Sales Tax incentives of Govt. of Maharashtra which were not considered anywhere in the initial project.
	Forex Management. Minimized exposure to exchange fluctuation risk and made substantial gains from the Euro / Dollar and Lira (pre-EU days) invoicing of export and Import transactions.
	Actively involved in Capital Expenditure Planning of the company and managed the same purely through internal accruals.
	Managed merger of two of the Indian subsidiaries of Piaggio & C here in India namely (Piaggio Vehicles Pvt. Ltd (PVPL) and Piaggio India Pvt. Ltd. (PIPL).
	Extensively dealt with SIA / FIPB and RBI in respect of approval for Foreign Direct Investment, Acquisition of shareholding of Indian partner to the Joint Venture and approval for the Buyback of shares from Non Residents.
	Held, convened and chaired a Meeting of Creditors of a Company as per the directives of the Bombay High Court in respect of merger of two wholly owned Indian subsidiaries of a foreign company.
	Working in the international environment, ensured regular Corporate Reporting to the principles based outside India.
	Coordinated Due diligence in respect of – (1) takeover of the Parent company by a new Investor and (2) acquisition of Indian JV partner’s shareholding by the Non Resident Partner.
	Managed Buyback of shares from Non Resident shareholders in accordance with the Private Limited Company and Unlisted Company (Buy-Back of Securities) Rules, 1999.
	Managed and coordinated conversion of the company from a 51:49 JVC to Wholly Owned Subsidiary of Piaggio & C.

B. Growel Times Ltd (Sept 91 – May 94 and Oct 95 – June 98)

	It was a Greenfield Joint Venture project with Bumotec SA of Switzerland to manufacture watch cases for being supplied to watch manufacturers such as HMT, Titan and Timex.
	The company belonged to the Growel group of companies owned by Mores. Other companies of the group are Bombay Paints and Grauer & Weil.

Highlights of Experience

	I was involved with the company right from the conception through joint venture formation and implementation of the project.
	As Company Secretary and Finance Controller, was responsible for the entire commercial side of the business including Financial Administration and control, Accounts & Audit, Systems, Costing, MIS, Company Law, Taxation.
	Arranged Rupee Term Loan as well as Foreign Currency Term Loan for the project through a consortium of ICICI, IDBI and IFCI with ICICI in lead.
	Obtained Capital Incentives and Sales Tax benefits from the Govt. of Maharashtra for the project
	Managed the Initial Public Offer (IPO) of the Company at Premium on the Over the Counter Exchange of India (OTCEI). It was the largest IPO on OTCEI that time.

C. Bharat Forge Ltd

	Bharat Forge is predominantly an engineering group with focus on manufacturing of auto components for almost all the automobile companies across the globe.
	In 1994, the company decided to enter into two of the very attractive sectors of that time, namely (1) Financial Services and (2) Realty Sector for maximisation of shareholders’ wealth.

Highlights of Experience

	Set up the Vehicle Finance Division for the company and was its Profit Centre Head.
	Spearheaded the company’s venture into real estate activities and set up the Real Estate Division for the company.

D. I S M T Ltd (Apr 87 – Sept. 91)

Indian Seamless Group is India’s one of the largest seamless tube manufacturer with multiple manufacturing facilities.

Highlights of Experience

	I was responsible for the financial and commercial functions of two of the subsidiaries of the group namely (1) Balaji Tubes Ltd. and (2) United Fluid Power Equipments Ltd.
	Arranged finance for one project of each of the company from SICOM and a consortium of IDBI, ICICI and IFCI.
	Got both the subsidiaries merged through the process of Section 391-394 of the Companies Act.
	Strengthened and streamlined the systems and procedures relating to all activities and also set up the Budgeting and Budgetary Control System.

E. Praj Industries Ltd. (Dec 85 – April 87)

	Praj was a Greenfield company when I joined them in Dec. 1985
	It was getting engaged that time in setting up turn key projects for distillery and effluent treatment plants. Company had the Technical Collaboration with Vogelbusch of Austria.

Highlights of Experience

	Helped the Managing Director as Executive Officer in setting up the entire organisation
	Short Term Courses attended:
	A short Course in “Leadership Development, Teamwork & Presentation Skills” from Berlitz School of Oriental Studies, London.
	Have done Effective Personal Productivity Programme conducted by Leadership Management International Waco, Texas, USA.
	A short programme of CPA focusing on US GAAP and Sarbanes Oxley Act.
